OFFICIAL RULES - “"In Flames Epiphone EM1 Guitar" Contest

NO PURCHASE IS NECESSARY OR REQUIRED. OPEN TO INDIVIDUAL RESIDENTS OF CANADA, EXCLUDING QUEBEC, WHO HAVE REACHED THE AGE OF MAJORITY IN THEIR PROVINCE OR TERRITORY OF RESIDENCE AT TIME OF ENTRY.

Sponsor: This Contest is sponsored by KOCH Entertainment, 2010 Ellesmere Road, Unit #8, Scarborough, Ontario, M1H 3B1, CANADA ("Sponsor").

How to Enter: The "In Flames Epiphone EM1 Guitar" Contest (the "Contest") begins at 9:00 am. E.S.T. on May 1st, 2008 and ends at 11:59 pm E.S.T. on June 15th, 2008 (the "Entry Period). To enter visit the CD Plus website at www.CDPlus.com (the "Website") during the Entry Period and fill out the entry form. Your entry must be received by Sponsor during the Entry Period. Proof of sending entry will not be deemed to be proof of receipt. Limit of one (1) online entry per person.

Data Collection: All personal information submitted in relation to the Contest will be handled in accordance with applicable Canadian privacy laws and the privacy policy of the Sponsor which may be found at www.kochcan.com. Your personal information only will be used in connection with the Contest as provided for in these Official Rules. Your personal information also may be used to send you additional information about the Sponsor, KOCH Records, CD Plus Partnership ("CD Plus"), their respective affiliates and franchisees and each of their respective products and programs only if you provide your affirmative consent to receive such information. Your personal information will not be used for any other purpose and will not be shared with anyone else, except as may be provided in these Official Rules.

Eligibility: This Contest is open to legal residents of Canada only, excluding Quebec, who have Internet access as of May 1st, 2008, who have reached the age of majority in their province or territory of residence at the time of entry and have a valid Canadian passport to travel to the United States. Employees, representatives and agents of the Sponsor, KOCH Records, CD Plus, their respective parent companies, subsidiaries, affiliates, licensors, associates, the Contest judges, advertising and promotional agencies, and anyone involved in the Contest's development or execution, the immediate family members (meaning spouses, parents, siblings, children and their respective spouses) of such persons and members of the households of such persons are not eligible. Proof of identity, residence and age may be requested and, if the Sponsor determines an entrant's proof is inadequate, the entrant will be disqualified.

Odds: The odds of winning are dependent upon the total number of entries received in accordance with these Official Rules.

Prize: One (1) Grand Prize is available to be won, consisting of An Epiphone EM1 Guitar SIGNED BY IN FLAMES!!!".

Grand Prize must be accepted as awarded and is not transferable. Grand Prize may not be converted to cash. No additions or substitutions allowed, except as determined by the Sponsor in its sole discretion. Approximate retail value of Five Hunder Dollars (CDN $500.00 Sponsor reserves the right in its sole discretion to substitute a prize of equal or greater value should the featured Grand Prize become unavailable for any reason. The Sponsor, KOCH Records do not offer any warranty, either expressly stated or implied, for the Grand Prize or any part thereof.

Prize Draw/Selection of Winner: On June 16th, 2008, at approximately 9:00am ET, at KOCH Entertainment, 2010 Ellesmere Road, Unit #8, Scarborough, ON, M1H 3B1, one entry, from among all eligible entries received in accordance with these Official Rules, will be randomly selected for a chance to win the Grand Prize. Attempts to reach the selected entrant by telephone or registered mail will be within three (3) days of the drawing using the contact information provided by the entrant on the on-line entry form. In order to be confirmed as the Grand Prize Winner, the selected entrant must have complied with, and remain in compliance with, these Official Rules and must first correctly answer, without assistance of any kind, mechanical or otherwise, a time-limited mathematical skill-testing question to be administered at a pre-arranged time by telephone. If the selected entrant correctly answers the mathematical skill-testing question, he or she will be provided with a standard declaration of eligibility, a liability release and, where legal, publicity release forms. To be declared a winner, the selected entrant and his/her guest must then complete and sign the declaration and release forms, and return the forms to Sponsor and Sponsor must be in receipt of all such forms, within four (4) days of the selected entrant receiving such forms. By signing the declaration and releases, the selected entrant and guest confirm understanding and compliance with these Official Rules including, but not limited to, (i) confirming acceptance of the prize as awarded and the agreement to release Sponsor, KOCH Records, CD Plus, their respective parent companies, subsidiaries, affiliates, promotion and advertising agencies, the Contest judges and anyone involved in the Contest's creation, development or execution, and each of their respective owners, directors, officers, representatives, employees, agents, contractors, successors and assigns (collectively the "Releases") from any and all liability, damage or loss relating in any way to the Contest including, without limitation, liability, damage or loss arising from the acceptance, use or misuse of the Grand Prize or any part thereof; and (ii) confirming, except where prohibited by law, permission for Sponsor, KOCH Records, CD Plus and their respective designees to use selected entrant's and guest's name, hometown, likeness, performance, and/or voice for purposes of advertising, promotion and publicity without additional compensation or permission. If the prize notification is returned as undeliverable, or if the selected entrant cannot be contacted within three (3) days of the draw date, fails to correctly answer the mathematical skill-testing question, does not, and his/her guest does not, execute and return to Sponsor within four (4) days of receipt a declaration of compliance with the Contest Official Rules and releases (including a publicity release), or does not otherwise comply with these Official Rules, the selected entrant will be disqualified and another entrant will be randomly selected in accordance with these Official Rules.

General Conditions: All federal, provincial, municipal and local taxes are the sole responsibility of Grand Prize Winner. By participating, all entrants and any guests release and hold harmless Releases from any and all liability or any injuries, loss or damage of any kind arising from or in connection with participation in this Contest or acceptance, use, misuse or nonuse of any prize or parts thereof (including activity or travel related thereto), including, without limitation, liability for death, personal injury, damage or loss of any kind, and from liability to any other persons relating to or resulting from entering or downloading materials or software in connection with this Contest. The Releases do not make any warranty, representation or guarantee, express or implied, in fact or in law, relative to the use of any prize, including, without limitation, quality, merchantability, and fitness for a particular purpose. Further, no responsibilities are accepted for any additional expenses, omissions, delays, re-routing, or acts of any government or authority. Sponsor reserves the right to modify this Contest in any way deemed necessary or appropriate. Entry constitutes permission for Sponsor, KOCH Records, CD Plus and their respective designees to use winners' name, hometown, likeness, performance, and/or voice for advertising and promotional purposes in any and all media including, without limitation, the Internet, without additional compensation, notice or permission unless prohibited by law.

Sponsor, KOCH Records retain the right, in their sole and absolute discretion, to make substitutions of equivalent kind or value in the event of the unavailability of any component of the prize for any reason whatsoever.

This Contest is subject to all applicable federal, provincial, municipal and local laws. Decisions of the Sponsor and Contest judges are final and binding on all entrants with respect to all aspects of the Contest. Void where restricted or prohibited by law. This Contest is governed by the laws of the Province of Ontario. By taking part in this Contest, entrants agree to be bound by these Official Rules.

Sponsor reserves the right to withdraw, modify, terminate or suspend this Contest at any time without prior notice, including if a virus, bugs, unauthorized human intervention, or other causes beyond Sponsor's control corrupt or affect the administration, security, fairness or proper play of the Contest. If, in the Sponsor's sole opinion, there is any suspected or actual evidence of tampering with any portion of the Contest, Sponsor reserves the right to terminate the Contest and conduct a random drawing to award the prize using all eligible entries received as of the termination date.

All entries become the sole property of Sponsor for any and all purposes, and will not be acknowledged or returned. The Releases and are in no way responsible or liable for entries (online entries, or refer-a-friend entries) or declaration or release forms which are delayed, stolen, illegible, mutilated, misdirected, postage due, not received, incomplete, forged, lost or destroyed. Releases are not responsible or liable for any inaccuracies in the contact information appearing in Sponsor's records. In the event of a dispute as to the identity of an entrant, the entry shall be deemed made by the authorized account holder of the e-mail address. "Authorized account holder" is deemed to be the natural person who is assigned an e-mail address by an internet access provider, on-line service provider, or other organization that is responsible for assigning e-mail addresses or the domain associated with the submitted entry or e-mail address. Selected entrant may be required to provide Sponsor with proof that he or she is the primary account holder of the e-mail address associated with the potentially winning entry.

Releases are not responsible or liable for any computer, telephone, cable, network, satellite, electronic or internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/internet/web site/user accessibility or availability, traffic congestion, or unauthorized human intervention; injury or damage to entrant or any other person or to their computer or other property related to or resulting from participating in this Contest, downloading materials from or using Sponsor's website, or using or participating in the use of the prize.

Sponsor reserves the right, in its sole discretion, to disqualify any individual they find to be tampering with the operation of the Contest or Sponsor's website; to be acting in violation of these Contest Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person during the promotion period or any time up to or after the Grand Prize trip. Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods. CAUTION: Any attempt made by an entrant to deliberately damage any web site or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws. Should such an attempt be made, or if Sponsor suspects there has been any electronic tampering or if technical difficulties compromise the integrity of the Contest, Sponsor reserves the right to seek damages from any such entrant to the fullest extent permitted by law. Winner's List/Official Contest Rules: A list containing the name of the Grand Prize Winner may be obtained by sending a request in writing, together with a postage-paid self-addressed envelope, to KOCH Entertainment, 2010 Ellesmere Road, Unit #8, Scarborough, Ontario, M1H 3B1 c/o "In Flames Epiphone EM1 Guitar" Contest. Winners list and these Official Rules also will be posted on www.kochcan.com once a Grand Prize Winner is confirmed through June 15th, 2008.
